The shared folder would be created as a Public Folder on the Exchange Server
(if they had one). The permissions could be set so that anyone, a specified
group, or a specific individual could read/write/delete contact entries.

To move the important contacts from the laptops to the public folder, just
copy/paste them. The problem with this is that there is no easy way to
synchronize changes that are made on the laptops while they are offline.

If the laptops are used offline, they do not have access to the shared LDAP
directory. There is no easy way to make it available offline.
